    Application means the software program provided by the Company downloaded by You on any electronic device, named Oonee

    Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.

    Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

    Account means a unique account created for You to access our Service or parts of our Service.

    Country refers to: New York, United States

    Company (referred to as either “Oonee,” "the Company," "We," "Us," or "Our," in this Agreement) refers to Modular Streetscape Systems Inc. , 1150 Pacific St. Brooklyn NY 11216, Doing Business as Oonee.

    Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

    Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

    Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

    Service refers to digital and physical services provided by The Company including, the Application, the Website and micromobility Stations.

    Station refers to physical locations operated by Oonee for micromobility parking and storage, including Oonee Minis, Pods, Hubs, Lites, and any other form factors which Company may create and offer through its Application or Website.

    Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

    Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

    Website refers to Oonee, accessible from www.oonee.us and www.oonee.me

    You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

  • Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. By accessing or using the Service You agree to be bound by these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

    You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

    Your access and use of the Services or contacting us through the Application, Site or making submissions to us or the Site, you consent to our collection and use of personal information as discussed in our Privacy Policy, which is hereby incorporated into this Agreement.   • When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

    You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.

    You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

    At any point, you may request your account to be deleted. This can be done by contacting support@oonee.us and stating the name and email of your account you would like deleted. If deleted, the Service may retain historical data of your account activity.

  • Unauthorized Items

    Items that are not approved bicycles, micro-mobility vehicles and related equipment are prohibited from being stored inside an Oonee station and may be removed at Oonee’s discretion. This includes Mopeds, motorcycles and other larger vehicles. Related equipment includes delivery bags, helmets and spare locks and must to attached to your vehicle

    72 Hour Limit On Stays

    There is a three-day parking limit. bicycles and micromobility devices that remain for longer than three days may be clipped, removed and brought to a storage facility.

    Oonee is are Not Responsible for Removed in the Storage Facility

    Oonee is not responsible for bikes, scooters, micromobility devices and other items that have been removed from the stations in violation of our policies. While Oonee will maintain a good faith effort to securely store and protect from damage removed items securely and assist the owner in retrieving their items, Oonee is not responsible for damage or loss to these items once they are brought to the lost and found or thereafter.

    Oonee reserves the right to charge up to $100 retrieval fee to owners of vehicles who retrieve their bike after it has been removed for violating any of our policies.

    Vehicles that have been removed from the stations will be brought to a storage facility. Owners have 30 days to claim their vehicle before it is considered abandoned. Abandoned vehicles may be discarded, donated, or auctioned.

    Station Closures

    Oonee may close its stations for any amount of time for repairs, weather and other incidents at its sole discretion. by using oonee stations, you acknowledge the right of oonee to prevent you access to the station, even in cases when your vehicle or belongings are stored inside. Oonee aims to proactively notify you of station closures and allow users to retrieve their bicycles and belongings in a timely manner

    Code of Conduct and Prohibited Uses Disrespectful behavior, smoking, loitering, unruly, and/or illegal behavior is not tolerated. Individuals engaged in unauthorized activities may be asked to leave the premises and can also result in a temporary or permanent. Decisions on account suspensions are made at the company’s sole discretion.

    E-bike Batteries

    E-bike batteries may not be allowed inside certain Oonee stations, as communicated in the Service, and are subject to removal including the vehicle to which the battery is attached, if it cannot be detached from the vehicle.

  • The Service and its original content, features and functionality are and will remain the exclusive property of the Company and its licensors.

    Trademarks: Names, titles, trademarks, service marks, and logos (collectively, the “Trademarks”) displayed on the Site are our registered and/or unregistered common law trademarks or those of third parties. Nothing contained in the Site should be construed as granting, by implication or otherwise, any license or right to use any Trademark displayed on the Site without our express written permission or that of the appropriate third party that owns the Trademark. Except as permitted by these Terms and Conditions, any unauthorized use of the Trademarks is prohibited.

    Digital Millennium Copyright Agent: For purposes of the Digital Millennium Copyright Act (“DMCA”), we have designated an agent for notices of claimed infringement. If you have any objections governed by the DMCA, please contact the Company at legal@ooneepod.com. We provide this contact information for purposes of the DMCA only and reserve the right to respond only to communication that is relevant for this purpose.

    We will process and investigate properly submitted notices of alleged infringement and will take appropriate actions under the DMCA. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our agent with the following information: (a) a physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed; (b) a description of the copyrighted work that you claim has been infringed; (c) a description of where the material that you claim is infringing is located on the Site; (d) your address, telephone number, and email address and all other information reasonably sufficient to permit the Company to contact you; (e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

  • You agree that any information you provide through the Site will be truthful, accurate and complete. You represent and warrant that you own any information provided through the Site or otherwise have appropriate authority to provide any such information through the Site. All information that you submit to us through the Site shall be deemed and remain our property and we may use, for any purpose, any ideas, concepts, know-how or techniques contained in such information. We have no obligations regarding such information or otherwise specifically agreed to in a separate writing or required by law. You acknowledge and agree that you will not provide any information or material to us or the Site that is defamatory, threatening, obscene, harassing, or otherwise unlawful, or that incorporates the proprietary material of another person or entity.

  • We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

    Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.

  • Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

    To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

    Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

  • Storage of a vehicle and any other belongings inside an Oonee station is done at your own risk. By using an Oonee facility, you indemnify Oonee from any loss due to damage or theft, you however can qualify your vehicle for complimentary insurance. see terms of the program at https://www.oonee.me/oonee-user-guide

    Using any Oonee facility is done at your own risk. By using an Oonee facility you agree that Oonee is not responsible for accidental injuries that may occur.

    You agree to indemnify and hold Oonee, our managers, members, officers, employees, agents and representatives harmless from any loss, liability, claim or demand, including reasonable attorneys’ fees and costs, due to or arising out of (i) your use or misuse of the Services, including use of Oonee parking stations and other physical infrastructure; (ii) your breach of these Terms and Conditions; or (iii) your violation of any third party right.

  • Neither Oonee nor you shall be responsible for damages or for delays or failures in performance resulting from acts or occurrences beyond their reasonable control, including, without limitation: fire, lightning, explosion, power surge or failure, water, acts of God, war, revolution, civil commotion or acts of civil or military authorities or public enemies: any law, order, regulation, ordinance, or requirement of any government or legal body or any representative of any such government or legal body; or labor unrest, including without limitation, strikes, slowdowns, picketing, or boycotts; inability to secure raw materials, transportation facilities, fuel or energy shortages, or acts or omissions of other common carriers.

  • In the event that you have a dispute with one or more other users of the Services, you release Modular Streetscape Systems Inc. (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

  • The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.     Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

    Waiver

    Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

    Photos, Camera & Location Data​​

    Access to Photos, Camera and Location data is required for the mobile app to properly function. Photo and Camera access is used to verify identity during the account formation process, while location/GPS data is used to determine distance to the nearest location for maps and discoverability features. Bluetooth, Location & GPS data are also used to grant access to the facility via smart access control.

    In order to create an Account for usage of the Company’s Services, to ensure security of Services, You must complete an identity verification process using a government-issued ID. This verification is performed by iDenfy, a GDPR-compliant, ISO 27001-certified security & compliance provider. Documents submitted to iDenfy to complete this process are governed by iDenfy’s Privacy Policy, found at: https://www.idenfy.com/privacy-policy/.

    The Company’s employees and affiliates may access data submitted to iDenfy in order to complete this identity verification. The Company does not store any images You submit to complete this process.
